Music City Speaker Co. Rental Agreement

Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "Renter," "you," or "your") and Music City Speaker Co. ("Company," "we," "us," or "our") for the rental of audio equipment and related services.

By renting equipment from Music City Speaker Co., you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you may not rent equipment from us.

IMPORTANT: All rentals require a signed liability waiver before equipment pickup.

Rental Process and Reservations

Booking and Confirmation

  • Reservations must be made in advance by contacting us via text at (615) 856-9404 or email at [email protected]
  • All bookings are subject to equipment availability
  • We reserve the right to refuse service to anyone for any reason
  • Confirmation of your rental will be provided via email or text message

Payment Terms

  • Full payment is required before equipment pickup or delivery
  • We accept major credit cards, debit cards, and digital payment methods
  • A security deposit may be required at our discretion
  • All prices are in USD and subject to applicable taxes
  • Rental fees are non-refundable once equipment has been picked up or delivered

Cancellation Policy

  • Cancellations made more than 7 days before the rental date: Full refund
  • Cancellations made 3-7 days before the rental date: 50% refund
  • Cancellations made less than 3 days before the rental date: No refund
  • We reserve the right to cancel reservations due to equipment malfunction or unavailability, with a full refund provided

Equipment Use and Care

Proper Use

Customer agrees to:

  • Use equipment only for its intended purpose
  • Follow all operating instructions and safety guidelines provided
  • Keep equipment in a safe, secure location when not in use
  • Protect equipment from weather, moisture, extreme temperatures, and environmental hazards
  • Not modify, alter, or repair equipment without our written consent
  • Not use equipment in illegal activities or prohibited venues
  • Not sublease, lend, or transfer equipment to any third party

Prohibited Activities

The following are strictly prohibited:

  • Operating equipment at unsafe volume levels that exceed manufacturer specifications
  • Exposing equipment to water, rain, or excessive humidity
  • Using equipment outdoors without proper weather protection
  • Transporting equipment in unsafe or unsecured manner
  • Attempting to remove or alter serial numbers or identification tags
  • Using equipment under the influence of drugs or alcohol

Equipment Inspection

  • Customer must inspect equipment at pickup and report any damage or defects immediately
  • Equipment is assumed to be in good working condition if no issues are reported at pickup
  • Equipment must be returned in the same condition as received, normal wear and tear excepted

Liability and Damages

CUSTOMER LIABILITY

Customer assumes full responsibility and liability for any and all damage, loss, or theft of rented equipment from the time of pickup until the time of return.

Damage Responsibility

  • Customer is financially responsible for all damages to equipment, including but not limited to: physical damage, water damage, electrical damage, cosmetic damage, and missing components
  • Damage costs will be assessed based on repair costs or replacement value, whichever is applicable
  • Any security deposit will be applied toward damage costs
  • Customer may be charged additional amounts beyond the deposit if damage costs exceed the deposit amount

Loss and Theft

  • Customer is responsible for the full replacement value of lost or stolen equipment
  • Lost or stolen equipment must be reported to us immediately
  • Customer must file a police report for stolen equipment and provide us with a copy
  • Replacement value will be determined based on current market value for equivalent equipment

Late Returns

  • Equipment must be returned by the agreed-upon date and time
  • Late returns will incur additional rental charges at 1.5x the daily rate for each day or partial day overdue
  • Equipment not returned within 3 days of the due date may be reported as stolen

Liability Waiver and Indemnification

MANDATORY WAIVER

All customers must sign a liability waiver before taking possession of rented equipment. This waiver is a mandatory requirement for all rentals.

Release of Liability

By renting equipment, Customer agrees to:

  • Release Music City Speaker Co. from any and all liability for personal injury, property damage, or other losses arising from the use of rented equipment
  • Acknowledge that they are using equipment at their own risk
  • Accept full responsibility for any injuries or damages that may occur during the rental period
  • Waive any claims against Music City Speaker Co., its owners, employees, and representatives

Indemnification

Customer agrees to indemnify, defend, and hold harmless Music City Speaker Co. from any claims, damages, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

  • Customer's use or misuse of rented equipment
  • Customer's violation of these Terms and Conditions
  • Customer's negligence or willful misconduct
  • Any third-party claims related to the rental or use of equipment
  • Damage to venues, property, or persons caused by the equipment or its operation

Insurance

  • Customer is responsible for obtaining any necessary insurance coverage for events or venues
  • Music City Speaker Co. does not provide insurance for rented equipment or customer liability
  • Customer should verify their own insurance coverage before renting equipment

Warranties and Disclaimers

Equipment Condition

  • We make reasonable efforts to ensure all equipment is in good working condition
  • Equipment is provided "as is" without warranties of any kind, express or implied
  • We do not guarantee uninterrupted or error-free operation of equipment
  • We are not responsible for equipment malfunction due to user error or misuse

Technical Support

  • Basic setup instructions and operating guidelines are provided with each rental
  • Limited technical support is available during business hours
  • We are not responsible for customer's inability to operate equipment properly
  • On-site technical support may be available for an additional fee

Limitation of Liability

To the maximum extent permitted by law, Music City Speaker Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Lost profits or revenue
  • Loss of business opportunity
  • Damage to reputation or goodwill
  • Event cancellations or disruptions
  • Data loss or corruption

Our total liability shall not exceed the total rental fee paid by Customer.

Legal Compliance and Venue Requirements

Legal Compliance

  • Customer must comply with all applicable federal, state, and local laws and regulations
  • Customer is responsible for obtaining any necessary permits, licenses, or approvals
  • Customer must comply with noise ordinances and volume restrictions
  • Equipment may not be used for any illegal purpose

Venue Compliance

  • Customer must ensure equipment use is permitted by the venue
  • Customer is responsible for any venue damage caused by equipment or its setup
  • Customer must follow all venue rules, regulations, and safety requirements
  • Customer must obtain venue approval for equipment setup and placement

Intellectual Property Rights

  • All equipment, branding, logos, and materials remain the exclusive property of Music City Speaker Co.
  • Customer may not reproduce, copy, or create derivative works based on our intellectual property
  • Customer is responsible for obtaining proper licenses for any copyrighted music or content played through rented equipment
  • We are not responsible for copyright infringement or licensing violations by Customer

Dispute Resolution

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or the rental of equipment shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Nashville, Tennessee.

Each party shall bear their own costs and expenses related to arbitration.

Class Action Waiver

Customer agrees to resolve disputes on an individual basis and waives any right to participate in class action lawsuits or class-wide arbitration.

General Provisions

Entire Agreement

These Terms and Conditions, together with any signed rental agreement and liability waiver, constitute the entire agreement between Customer and Music City Speaker Co. regarding the rental of equipment. Any prior agreements, representations, or understandings are superseded by these Terms.

Amendments and Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms. Material changes may be communicated via email or text message.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of Music City Speaker Co.

Assignment

Customer may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms at any time without notice or consent.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, or equipment failure. In such cases, rental fees may be refunded or rescheduled at our discretion.

Notices

All notices required under these Terms shall be in writing and delivered via:

  • Email to the address provided at booking
  • Text message to the phone number provided at booking
  • Physical mail to the address provided at booking

Notices shall be deemed received when sent via email or text, or three days after mailing.

Survival

Provisions relating to liability, indemnification, warranties, dispute resolution, and any other provisions that by their nature should survive termination shall remain in effect after the end of the rental period.

Age Requirement and Authority

Customers must be at least 18 years of age to rent equipment.

  • Valid government-issued identification may be required at pickup
  • Customer represents that they have the legal authority to enter into this agreement
  • If renting on behalf of an organization, Customer represents they have authority to bind that organization
  • Customer represents that all information provided is accurate and complete

Equipment Specifications and Substitutions

  • We will make reasonable efforts to provide the specific equipment reserved
  • We reserve the right to substitute comparable or superior equipment if reserved items are unavailable
  • Rental fees will be adjusted if substituted equipment has a different rental rate
  • Equipment specifications, features, and appearance may vary from photos or descriptions
  • We are not responsible for compatibility issues with customer's devices or venue infrastructure

Acknowledgment

By renting equipment from Music City Speaker Co., you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

You also acknowledge that you will be required to sign a liability waiver before taking possession of any rented equipment.
