Music City Speaker Co. Rental Agreement

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "Renter," "you," or "your") and Music City Speaker Co. ("Company," "we," "us," or "our") for the rental of audio equipment and related services.
By renting equipment from Music City Speaker Co., you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you may not rent equipment from us.
IMPORTANT: All rentals require a signed liability waiver before equipment pickup.

Customer assumes full responsibility and liability for any and all damage, loss, or theft of rented equipment from the time of pickup until the time of return.
All customers must sign a liability waiver before taking possession of rented equipment. This waiver is a mandatory requirement for all rentals.

Customer agrees to indemnify, defend, and hold harmless Music City Speaker Co. from any claims, damages, losses, liabilities, costs, or expenses (including attorney's fees) arising from:
To the maximum extent permitted by law, Music City Speaker Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
Our total liability shall not exceed the total rental fee paid by Customer.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the rental of equipment shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Nashville, Tennessee.
Each party shall bear their own costs and expenses related to arbitration.
Customer agrees to resolve disputes on an individual basis and waives any right to participate in class action lawsuits or class-wide arbitration.
These Terms and Conditions, together with any signed rental agreement and liability waiver, constitute the entire agreement between Customer and Music City Speaker Co. regarding the rental of equipment. Any prior agreements, representations, or understandings are superseded by these Terms.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms. Material changes may be communicated via email or text message.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of Music City Speaker Co.
Customer may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms at any time without notice or consent.
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, or equipment failure. In such cases, rental fees may be refunded or rescheduled at our discretion.
All notices required under these Terms shall be in writing and delivered via:
Notices shall be deemed received when sent via email or text, or three days after mailing.
Provisions relating to liability, indemnification, warranties, dispute resolution, and any other provisions that by their nature should survive termination shall remain in effect after the end of the rental period.
Customers must be at least 18 years of age to rent equipment.
